# Terms of Service

These Terms of Service (“Terms”) govern the provision of technical support services (“Services”) by **Vynvex Technologies Ltd** (“Vynvex”, “we”, “us”, or “our”), a company registered in England and Wales with company number 16910192, registered office at 182–184 High Street North, East Ham, London E6 2JA, United Kingdom.
By engaging our Services, you (“Client”, “you”) agree to be bound by these Terms. If you do not agree, do not use the Services.
## 1. Services Provided
We provide after-hours technical support for hosting providers, digital agencies, and IT businesses, including:
– Ticket handling in your existing system (WHMCS, HelpScout, Zendesk, etc.)
– Troubleshooting and fixes for cPanel, WordPress, DNS, hosting, and basic Linux/SSH issues
– Daily summary reports (via email/Slack)
– Monthly performance reports
**Standard Hours**
– Weekdays: 6 hours per day (flexible start time, aligned with your peak hours by agreement)
– Weekends (Saturday & Sunday): Up to 12 hours per day (subject to reasonable volume and these Terms)
All Services are provided on a **white-label** basis — your clients will not be aware of our involvement.
## 2. Pricing & Payment
– Standard plan: **$399 USD per month** (billed monthly in advance via Stripe)
– No long-term contracts — cancel with 30 days’ notice
– First month: **30-day money-back guarantee** (full refund if unsatisfied, contact us within 30 days)
– After first month: No refunds for time already delivered
– Add-ons if added later on (e.g., live chat): Quoted separately
– All fees exclude applicable taxes (VAT if relevant)
– Late payments incur 1.5% monthly interest
## 3. Reasonable Use & Prioritization
We handle a **reasonable volume** of tickets during agreed hours. Excessive volume may require prioritization of critical issues to maintain service quality — we will discuss this transparently during onboarding. We reserve the right to limit or adjust service if volume consistently exceeds reasonable levels.
## 4. Client Responsibilities
You agree to:
– Provide timely and accurate access credentials (via secure methods)
– Ensure your systems are secure and compliant with applicable laws
– Notify us promptly of any changes to access or systems
– Revoke our access immediately upon termination
## 5. Data Security & Privacy
We take data security very seriously:
– Credentials are shared via encrypted, time-limited channels (e.g., Bitwarden Send)
– Stored in AES-256 encrypted password managers
– Deleted upon termination or when no longer needed, within 7 days.
– We are registered with the Information Commissioner’s Office (ICO No. ZC072601) and comply with UK GDPR
– All access to Client systems and data is performed exclusively through secure, encrypted VPN connections to protect against unauthorized interception.

## 6. Intellectual Property
All materials, reports, and deliverables provided during the Services remain our intellectual property until full payment. Upon payment, you are granted a non-exclusive, non-transferable license to use them for your internal business purposes.
## 7. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the relationship and not to use it except for providing/receiving the Services.
## 8. Termination
– You may cancel anytime with 30 days’ notice (no further charges after notice period)
– We may terminate immediately for breach of these Terms, non-payment, or abusive conduct
– Upon termination, we will delete all Client data and access credentials within 7 days
## 9. Limitation of Liability
To the maximum extent permitted by law:
– Our total liability shall not exceed the total fees paid in the previous month
– We are not liable for indirect, consequential, or punitive damages
– We are not responsible for losses arising from your failure to secure systems or provide accurate information
## 10. Force Majeure
We are not liable for delays or failure to perform due to events beyond our reasonable control (e.g., internet outages, third-party hosting failures, natural disasters).
## 11. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
## 12. Changes to Terms
We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance. We will notify you of material changes via email.
